Job Description:

The role will head the Company Secretary and Compliance function for India

The role holder will act as a vital link between the company and its Board of Directors, shareholders, and government/ regulatory expectations set out in the Companies Act, Registrar of Companies and Company Law Board

Will handle Corporate Governance services, Corporate Secretarial services and Audits

Promotion, formation and incorporation of companies and matters related therewith

Filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative

Compliances and actions as per Indian Companies Act, 1956

Compliances as per India FEMA Act

Coordinating the board/general meetings and follow- up actions thereof

All work relating to Securities and their transfer and transmission

Custodian of corporate records, statutory books and registers, issuance of shares and related documents filings

Secretarial / Compliance Audit and Signing of Annual returns

Drafting of Minutes of meetings, adherence to filings, Board Resolution preparations/review, signing of Financials/adaptation and Annual General Meetings

Company Representation and or filings on/with Company Law Board and National Company Law Tribunal, Reserve Bank of India and Registrar of Companies

Communication with various internal stakeholders (Board of Directors, external Shareholders like Company Law board , Registrar of Companies and RBI)

It entails providing legal support to all recovery related processes and procedures

CANDIDATE PROFILE

A CS and LLB with 15 years of experience is a must for this role

Good experience in secretarial, compliance and litigation functions

Good exposure to handling Banks and NBFC s Exposure to other sectors will be an added advantage

Good relationships with RBI

IPO and SEBI experience would be an added advantage

Knowledge of the Company s Act, FEMA and NBFC regulations

Good communication skills

Strong drafting skills

Ability to manage teams and multiple stakeholders

Comes with a business partnering and collaborative approach

Good relationships with regulatory bodies
