Roles & Responsibilities

Preparation, Certification and signing of e-forms, documents, etc
Preparation of minutes of General (AGM and EGM) and Board Meetings
Preparation of Notice, Explanatory Statement and Agenda for convening General and Board Meetings
Preparation of Attendance Register for General and Board Meetings
Maintenance of Statutory Register and Records
Appointment of Managerial Personnel, Additional Director and Director and also their cessation
Disclosure of interest of directors
Annual Compliances which will specifically include preparation of Notice of AGM, Director Report (in soft), and instrument appointing a proxy (as and when required)
Filing of Balance Sheet and Profit and Loss Account with the ROC
Filling of Annual Return with ROC
Documentation and compliances in relation to issuance and allotment of shares by the company including filing Return of Allotment which includes issue of share certificates to the allotees
Documentation and compliances in case of transfer of shares (including assistance in issuance of related shares certificates)
Annual filing of necessary e-forms in case of approval of Financial Statement and Board Report
Filing of various form in relation to above and registration of various event based resolutions (ie Board Resolution, Special Resolution, etc) under Companies Act, 2013
Filing documents/information upon receive of remittances against share application money from the overseas parent entity
Managing CSR committee

FCRA Matters

Annual Return compliance of FCRA/RBI
Reviewing FIRCs and BRCs


Reviewing all STPI compliances
Reviewing SEZ compliances

Agreement Review

Drafting, reviewing and maintaining all IDC contracts

Service tax and other legal registrations and compliances

Reviewing all registrations with Govt agencies and periodic compliances
