Job Description:

- Drafting of Agenda, Minutes, Notices, etc

- Preparation and filing of various statutory Forms including XBRL filings

- Handling of all secretarial matters and compliance matters

- Able to coordinate with Statutory Auditors & Secretarial Auditors

- Maintaining all secretarial records such as minutes, forms, agenda, notices, statutory registers etc

- Able to handle independently all statutory compliances without any delay Preparing SOPs on various compliance matters

- Able to handle projects like Further Allotment of Shares, Issuance of CCD- s, Conversion of CCDs into equity, Raising funds through ECB, Change of Registered office, Due Diligence Report etc

- Able to do RBI compliances including but not limited to filing FCTRS, FCGPR, APR, ECB Return

- Review the structure chart fortnightly to ensure that changes and additions are included

- Manage the compliance and governance for overseas companies

- To manage around 20 Foreign Companies in different geographies, to maintain-

1 Updated Shareholders registers

2 Updated Directors Registers

3 Any alteration/amended constitution of the Company

4 Maintaining quarterly record of updated Circular Resolutions/Board Minutes

5 Change in Statutory Auditors of the Company

6 Change in Financial Year of the Company

7 Appointment and Resignation of Directors

8 Circular/Written Resolutions for Revision of Bank Matrix

9 Liaising for appostalization of various documents from time to time

- Maintaing quarterly litigation tracker for all the geographies

- Understanding of regulatory laws, regulatory strategies Knowledge and experience of best practice compliance and governance frameworks, methodologies and emerging practice, compliance monitoring

- Drafting and vetting of vendor contracts, property related documents, etc

- Liaison with relevant departments of Government offices and other authorities Visit to Authorities for documentations, follow up and keeping the record of the same

- Ensure that all filings are completed in line with individual country reporting timelines for all geographies

- Ensure creating, using, and socializing a corporate compliance tracker

Technical/Professional Skills & Competencies

- Having in-depth knowledge of Corporate laws ie Companies Act, SEBI and FEMA Regulations

- Qualified company secretary and Law Graduate

- Excellent written/verbal communication skills Ability to communicate effectively with colleagues at all levels and disciplines

- Exposure to working on global regulatory matters

- Excellent in MS office Skills, Excel and PPT skills

- Ability to think strategically and creatively, to identify and resolve issues

- Interest in understanding the business in depth, and operating within a dynamic, international context

- Able to work well as a team member and build rapport and trust with both internal and external stakeholders

- Must possess a high level of integrity and professionalism

- Must be comfortable working independently

- Trained at a law firm or company corporate legal department

- Experience of working in a multi-national company is preferred
